DROPKIT – TERMS OF USE

1 RISK DISCLOSURE

Digital assets created or traded through the DropKit Platform—including tokens, NFTs, and other blockchain‑based items ("Digital Assets")—are highly speculative and may lose value. You acknowledge that you alone are responsible for evaluating any Digital Asset and for all decisions to mint, buy, sell, hold, or otherwise interact with Digital Assets through the DropKit Platform. DropKit does not provide investment, tax, legal, or accounting advice, does not issue its own tokens, and does not guarantee the provenance or future value of any user‑generated Digital Asset.

2 ELIGIBILITY

You may use the DropKit Platform only if you:

• are at least the age of majority where you reside and have full power and authority to enter into this Agreement;
• are not a resident of, located in, or otherwise subject to export or other restrictions in any jurisdiction listed on our Prohibited Countries list;
• have not been previously suspended or removed from the DropKit Platform; and
• are not using the DropKit Platform for or on behalf of any third party unless you are properly authorized to bind that party to this Agreement.

3 THE DROPKIT PLATFORM

3.1 Overview

DropKit supplies no‑code tools that enable creators to launch blockchain‑based Digital Assets and associated campaigns. We do not custody user funds or private keys. Transactions settle directly on public blockchains (currently the Sui Network) via smart contracts.

3.2 Non‑Custodial Wallets

You must connect a compatible, non‑custodial wallet (a "Wallet") to interact with the Platform. Wallets are provided by independent third‑party software or hardware providers; DropKit does not control your Wallet or hold your keys and has no ability to reverse or recover transactions.

If you choose to generate a smart wallet the first time you sign in, that wallet is created and operated by Dynamic Labs, Inc. ("dynamic.xyz"). Dynamic.xyz is an independent provider; your relationship with dynamic.xyz is governed solely by its terms of service and privacy policy. DropKit neither controls nor custodies that wallet or its private keys and is not liable for any loss or damage arising from your use of a dynamic.xyz wallet. You are solely responsible for reviewing dynamic.xyz's terms and ensuring the security of your wallet credentials.

3.3 Fees

Fees applicable to a given transaction are disclosed at or prior to the time of the transaction (e.g., platform fees, network gas fees, creator royalties). By proceeding, you authorize DropKit smart contracts to deduct all applicable fees. Fee schedules are subject to change at any time.

3.4 License

Subject to your continued compliance with this Agreement, DropKit grants you a personal, non‑exclusive, non‑transferable, revocable, limited license to access and use the DropKit Platform for lawful, non‑commercial purposes.

4 USER OBLIGATIONS & PROHIBITED CONDUCT

You agree you will NOT:

• violate any law, regulation, or third‑party right;
• use the Platform to create, promote, or trade Digital Assets that are fraudulent, infringing, or illegal;
• attempt to interfere with, hack, or bypass any security feature of the Platform or its smart contracts;
• use bots, scrapers, or other automated means to access the Platform except through officially‑supported APIs;
• engage in wash‑trading, price manipulation, or other deceptive market behavior;
• upload viruses or malicious code; or
• use the Platform from a jurisdiction on the Prohibited Countries list.

5 INTELLECTUAL PROPERTY

5.1 DropKit IP

All software, trademarks, logos, and content provided by DropKit ("DropKit IP") are owned by DropKit or its licensors and protected by intellectual‑property laws. Except for the limited license granted in Section 3.4, no rights to DropKit IP are granted and all such rights are reserved.

5.2 User Content & Created IP

You retain ownership of the original content you upload ("User Content"). You grant DropKit a worldwide, royalty‑free license to use, copy, and display your User Content solely to operate the Platform and promote your Digital Assets. As between you and DropKit, any modifications or derivative works generated by the Platform ("Created IP") are owned by you, subject to the same license back to DropKit.

6 PRIVACY

Our collection and use of personal data are described in the DropKit Privacy Policy, which is incorporated by reference.

7 DISCLAIMERS

THE DROPKIT PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. DROPKIT DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, AND NON‑INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE ERROR‑FREE, SECURE, OR THAT ANY TRANSACTION WILL EXECUTE WITHIN A SPECIFIC TIME.

8 LIMITATION OF LIABILITY

To the maximum extent permitted by law, DropKit and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses arising out of or related to your use of the Platform. In no event shall DropKit's aggregate liability exceed the greater of (a) fees paid by you to DropKit in the 12 months preceding the claim, or (b) USD 100.

9 INDEMNIFICATION

You will defend, indemnify, and hold harmless DropKit and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (i) your use of, or inability to use, the Platform; (ii) your violation of any term of this Agreement; or (iii) your violation of any third‑party right.

10 TERMINATION

DropKit may suspend or terminate your access to the Platform at any time for any reason, including for violation of these Terms. Upon termination, all licenses granted to you will immediately cease, but Sections 5, 7‑11 shall survive.

11 GOVERNING LAW & DISPUTE RESOLUTION

Unless otherwise required by applicable law, this Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict‑of‑laws principles. Any dispute arising under this Agreement shall be resolved by binding arbitration in New York County, New York, administered by JAMS under its Comprehensive Arbitration Rules. You waive any right to participate in a class action.
